Terms of Service

Welcome to Nova AI Relay. These Terms of Service ("Terms") govern your access to and use of the Nova AI Relay website, dashboard, APIs, documentation, billing tools, and related services (collectively, the "Service").

By creating an account, generating an API key, purchasing credits, or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. What Nova AI Relay Provides

Nova AI Relay provides a unified API gateway that helps users access multiple third-party AI model providers through a consolidated interface. The Service may include:

• Account registration and authentication
• API key management
• Model routing and provider relay features
• Usage metering, logs, and billing records
• Pay-as-you-go credits or subscription plans
• Documentation and integration guides
• Administrative, security, and abuse-prevention systems

Nova AI Relay is not the creator or owner of every upstream AI model accessible through the Service. Model availability, behavior, pricing, speed, context limits, output quality, and safety behavior may depend on third-party providers.

2. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials, API keys, and any systems that can access your account.

You agree to:

• Provide accurate account information.
• Keep API keys private and rotate keys that may have been exposed.
• Use separate keys for development, production, and shared environments when practical.
• Promptly notify us at support@novarelay.io if you believe your account or API keys have been compromised.

You are responsible for all activity under your account, including API calls made with your keys.

3. Acceptable Use

You may not use the Service to:

• Violate applicable laws or regulations.
• Infringe, misappropriate, or violate intellectual property, privacy, publicity, or other rights.
• Generate, distribute, or facilitate malware, credential theft, phishing, spam, or unauthorized access.
• Abuse, disrupt, probe, overload, reverse engineer, scrape, or interfere with the Service or upstream providers.
• Bypass rate limits, usage controls, billing systems, safety controls, or access restrictions.
• Misrepresent generated content as human-created where disclosure is legally required.
• Use the Service for high-risk decisions where failure could cause death, personal injury, severe financial loss, or significant legal consequences unless you implement appropriate human review, validation, and safeguards.

We may suspend or restrict access if we believe your use creates security, legal, operational, provider-policy, or abuse risk.

4. AI Outputs and User Content

"User Content" means prompts, files, inputs, instructions, metadata, and other materials you submit to the Service. "Outputs" means responses generated by AI models through the Service.

You are responsible for:

• The User Content you submit.
• Reviewing and validating Outputs before relying on them.
• Ensuring your use of User Content and Outputs complies with applicable law and third-party rights.
• Implementing human review where Outputs are used in sensitive or consequential contexts.

AI Outputs may be inaccurate, incomplete, offensive, unsafe, outdated, or unsuitable for your use case. Nova AI Relay does not guarantee that Outputs are correct, lawful, non-infringing, secure, or fit for a particular purpose.

5. Upstream Providers

The Service routes requests to third-party AI providers and infrastructure providers. Your use may be affected by their:

• Terms, policies, and usage restrictions
• Model availability and rate limits
• Pricing changes
• Outages or latency
• Safety filters or content restrictions
• Data handling practices

We may add, remove, rename, replace, or modify model access at any time to maintain service quality, comply with provider requirements, control abuse, or reflect upstream changes.

6. Billing, Credits, and Usage

Usage is measured based on the applicable pricing rules shown in the Service, which may include input tokens, output tokens, images, requests, cached tokens, provider fees, platform fees, or other metered units.

You agree that:

• Credits are consumed when API requests are processed.
• Usage records shown in the dashboard are the primary reference for account consumption.
• Prices may change when upstream providers change pricing or when Nova AI Relay updates platform pricing.
• Promotional, referral, bonus, or trial credits may expire, be limited, or be revoked if abused.
• You are responsible for monitoring usage, logs, and remaining balance.

Unless required by law or explicitly stated in a written agreement, purchased credits and subscription fees are non-refundable once used. If a payment dispute, chargeback, fraud signal, or payment failure occurs, we may suspend or limit the account.

7. Rate Limits and Availability

We may apply rate limits, spending limits, request size limits, concurrency limits, and other controls. We may also throttle, queue, reject, or terminate requests to protect service stability.

We aim to provide a reliable Service, but we do not guarantee uninterrupted availability. The Service may be unavailable or degraded because of maintenance, provider outages, security events, network issues, software defects, or other causes.

8. Intellectual Property

Nova AI Relay and its software, website, documentation, branding, interface, and infrastructure are owned by Nova AI Relay or its licensors and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal business or personal purposes.

You retain your rights in User Content. Rights in Outputs may depend on applicable law and upstream provider terms. You are responsible for determining whether Outputs can be used for your intended purpose.

9. Third-Party Services

The Service may integrate with payment processors, AI providers, hosting providers, analytics providers, email providers, identity providers, and other third-party services. We are not responsible for third-party services, and your use of them may be governed by separate terms and privacy policies.

10. Suspension and Termination

We may suspend, restrict, or terminate your access if:

• You violate these Terms.
• Your use creates legal, security, provider-policy, or operational risk.
• Payment fails or billing information is invalid.
• We suspect fraud, abuse, credential compromise, or unauthorized use.
• We are required to do so by law or provider requirement.

You may stop using the Service at any time. Certain records may be retained as described in our Privacy Policy or as required for billing, security, compliance, and legal purposes.

11. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Nova AI Relay disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

We do not warrant that the Service or AI Outputs will be uninterrupted, secure, error-free, accurate, complete, or suitable for your intended use.

12. Limitation of Liability

To the maximum extent permitted by law, Nova AI Relay will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunities, or business interruption.

To the maximum extent permitted by law, Nova AI Relay's total liability for any claim related to the Service will not exceed the amount you paid to Nova AI Relay for the Service during the three months before the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Nova AI Relay from claims, damages, liabilities, losses, costs, and expenses arising from your User Content, your use of Outputs, your use of the Service, your violation of these Terms, or your violation of law or third-party rights.

14. Changes to the Service or Terms

We may update the Service and these Terms from time to time. Updated Terms become effective when posted, unless a later effective date is stated. Your continued use of the Service after updates means you accept the updated Terms.
